This Agreement is a legally binding contract between you and Michael Clark VO. Your access to and use of the Site is conditioned upon your acceptance of and compliance with these Terms. By using the Site, you represent that you have read, understood, and agree to be bound by this Agreement. If you are using the Site on behalf of an organization, you are agreeing to these Terms for that organization and warrant that you have the authority to bind that organization to these Terms.

The Site is provided solely for informational purposes and to allow prospective clients to submit a professional inquiry regarding voice-over services.

A. Prohibited Uses

You agree not to use the Site in a manner that:

1. Is Illegal or Unlawful: Violates any applicable local, state, national, or international law or regulation.
2. Is Harmful or Abusive: Harasses, threatens, defames, or abuses other users or the Voice Actor.
3. Involves Unauthorized Access: Attempts to gain unauthorized access to our servers, systems, or data.
4. Involves Malicious Code: Transmits any viruses, worms, defects, or other items of a destructive nature.
5. Constitutes Spam/Unsolicited Communication: Submits automated, unsolicited, or excessive messages via the contact form.

‍B. Accuracy of Submitted Information

You warrant that any information you provide through the contact form (including names, email addresses, and project details) is accurate, complete, and truthful. I am entitled to rely on the accuracy of the information you provide.

A. Company Content

All content on the Site, including but not limited to the text, graphics, logos, images, audio demos, voice samples, digital downloads, and the compilation thereof ("Company Content"), is the exclusive property of Michael Clark VO and is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to view and use the Company Content solely for the purpose of evaluating and inquiring about our services.

B. User Submissions

By submitting your Project Description and contact information through the Site's contact form, you grant the Voice Actor a limited, worldwide, royalty-free, and non-exclusive license to use, reproduce, and process that information solely for the purpose of responding to your inquiry and evaluating the potential business project.

THESE TERMS OF USE DO NOT CONSTITUTE A CONTRACT FOR VOICE-OVER SERVICES.

Any engagement to perform voice-over work, recording, editing, usage rights, payment terms, cancellation fees, indemnities related to the final audio product, or specific performance obligations will be governed by a separate, written, and mutually executed Service Agreement or Contract.

In the event of a conflict between these Terms of Use and any separate, written Service Agreement, the terms of the Service Agreement shall prevail with respect to the provision of voice-over services.

A. No Warranties (AS IS)

The Site is provided on an "AS IS" and "AS AVAILABLE" basis. I make no representations or warranties of any kind, express or implied, as to the operation of the Site or the information, content, materials, or products included on the Site. I do not warrant that the Site will be available uninterrupted or error-free, that defects will be corrected, or that the Site or the server that makes it available are free of viruses or other harmful components.

B. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Michael Clark VO, its owner, or its agents be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. Your access to or use of or inability to access or use the Site;
2. Any conduct or content of any third party on the Site; or
3. Any unauthorized access, use, or alteration of your transmissions or content.

You agree to defend, indemnify, and hold harmless Michael Clark VO and its owner from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Site; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.

This Agreement shall be governed and construed in accordance with the laws of the state of Texas, USA, without regard to its conflict of law provisions.

You agree that any legal action or proceeding arising out of or related to these Terms or your use of the Site shall be exclusively brought in the federal or state courts located in Harris County, Texas.

I reserve the right, at my sole discretion, to modify or replace these Terms at any time. I will update the Effective Date at the top of this page to reflect the date the new Terms take effect. By continuing to access or use this Site after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Site.
